Responsibilities:
Billable Work:
- Counsel emerging and late-stage technology companies on general corporate matters, e.g., formations, corporate restructuring, stock option plans, equity issuance
- Represent clients in a range of transactions, including debt and equity financings (e.g., Series Seed/A/B/etc., Convertible Notes, SAFEs) and M&A
Operations/Managerial Functions:
- Manage other CGL attorneys and paralegals to service clients
- Contribute to firm Forms Library and marketing content
Qualifications:
- J.D. from an U.S. accredited law school
- Active member of the California State Bar
- 4+ years of corporate transactional experience working with EC/VC clients, 2 of which must be from a premier U.S. law firm
- Exceptional written and verbal communication skills and an ability to clearly and simply explain complex ideas
- Ability to manage other attorneys in a kind and empathetic manner
- Exceptional attention to detail and quality control
