Senior Corporate Paralegal
We are looking to grow our corporate team! We are seeking an experienced corporate paralegal to join our Corporate Transactions group. Candidate must have general experience working in teams and managing substantial components of transactions. Candidate must also have emerging company and venture capital experience, including representing emerging technology companies in early and late-stage venture financings and M&A.
Job Duties:
- Assist counsel with corporate and commercial transactions
- Entity Formations (Corporations, LLCs, and LLPs)
- Prepare and file annual reports in states where entities are incorporated and/or qualify to do business
- Manage corporate secretarial duties through entire lifecycle (formation, mergers, dissolutions) and other corporate secretarial matters, including secretary certificates, data requests, officer appointments, etc.
- Prepare initial drafts of general form documents (NDAs, CIIAAs, employment/consultant/advisor agreements)
- Conduct Blue Sky research and preparation of Form Ds and related SEC filings
- Prepare and manage equity issuances and stock plan administrations
- Manage capitalization tables on Carta, Captable.io, and Excel
- Prepare and assist with financings (Series Seed/A/B/etc., Convertible Notes, SAFEs); prepare due diligence data room
- Prepare and distribute closing documents
- Develop internal best practices and processes, and form documents and agreements
- Audit corporate records and identify inadequacies
- Audit and organize firm’s document management system and client records
Credentials:
- 3+ years of experience working as a Corporate Paralegal in a BigLaw setting
- 3+ years of experience working in the EC/VC space
- Bachelor’s degree or Paralegal Certificate by an ABA certified program
- Candidates must meet the requirements of the California Business and Professions Code to qualify for this position
Required Skills:
- Understanding of entity structure and experience in creation of limited liability companies, limited partnerships and corporations is required
- Organization and communication skills are a must
- Highly responsible and accountable with a strong bias for action, with an ability to consistently drive results
- Must be able to handle highly sensitive information and maintain confidentiality at all times
- Strong ability to work independently and as part of a team
- Proficiency with Microsoft Word and Excel
- Proficiency with cap table management systems
